Terms and Conditions (T&Cs)

Introduction: These Terms and Conditions (hereinafter "Terms") constitute a legally binding agreement between you and the Youduct.com platform (hereinafter the "Platform" or "We"). By using the Platform's services, you agree to abide by these Terms.

Part I: General Provisions

 

Article 1: Scope of Application These Terms apply to all users of the Platform, including but not limited to: E-Merchants, Wholesalers, Affiliate Marketers, Shipping Companies, Delivery Drivers, and Buyers (Customers).

Article 2: Nature of the Service Youduct is an intermediary platform providing an integrated working environment to connect the following parties:

Product Providers: (Merchants/Wholesalers) to create stores and display their products.

Marketers: to promote products for a commission.

Logistics Providers: (Companies and Drivers) to complete shipping and Cash On Delivery operations.

Article 3: Registration and Accounts

The user must be of legal age to create an account on the Platform.

The user undertakes to provide accurate, complete, and up-to-date registration information.

The user bears sole responsibility for maintaining the confidentiality of their account data and password.

 

Part II: Obligations and Rights of Merchants and Wholesalers

 

Article 4: Store Creation and Product Display

The Merchant has the right to create their own store and display their products in accordance with the Platform's policies (display of illegal or non-compliant products is prohibited).

The Merchant bears sole responsibility for the quality of the products, the accuracy of their description, and stock availability.

The Merchant undertakes to prepare orders within the specified timeframe immediately upon receiving the purchase notification.

Article 5: Payment and Collection Mechanism

Sales operations on the Platform are conducted exclusively via the Cash On Delivery (COD) mechanism.

The Platform does not conduct any internal electronic payment operations on behalf of the customer.

The Platform (or its logistics partner) collects the total order amount from the customer upon delivery.

The Platform deducts its agreed-upon commission and the delivery commission from the collected amount, then transfers the remaining net profits to the Merchant or Wholesaler.

 

Part III: Obligations and Rights of Affiliate Marketers

 

Article 6: Affiliate Marketing System

Marketers have the right to register and use the Platform's tracking tools to promote the products of Merchants and Wholesalers.

Marketers are prohibited from using misleading promotional methods or false advertisements.

The commission is calculated solely based on successful, finalized, and delivered orders, and it is transferred to the Marketer's account after the collection process from the customer is complete.

 

Part IV: Obligations and Rights of Logistics Providers (Companies and Drivers)

 

Article 7: Delivery and Collection

Logistics Providers undertake to complete delivery operations efficiently and within the agreed-upon timeframe.

Logistics Providers are responsible for delivering the products to the customer and collecting the full order amount (COD).

The Platform deducts its agreed-upon commission for every successful delivery operation, then transfers the remaining net amount to the company/driver after collection is complete.

 

Part V: Financial Commission and Liability

 

Article 8: Commission and Fees

Youduct deducts a pre-agreed commission on every successful purchase order as a percentage of the product price.

Youduct deducts a pre-agreed commission on the delivery service fees.

The user is informed of all applicable commission rates upon registration or order creation.

Article 9: Liability and its Limits

Youduct operates as an intermediary platform and assumes no direct legal responsibility for the quality of products sold or the logistical performance of delivery providers.

The relationship between the Merchant and the Affiliate Marketer, or between the Merchant and the Logistics Partner, is considered an independent contractual relationship from the Platform regarding product or service integrity.

Article 10: Account Termination and Suspension The Platform reserves the right to suspend or terminate the account of any user who violates these Terms and Conditions or engages in fraudulent or harmful activity to the Platform or its users.
